AGREEMENT WITH USBMEMORYDIRECT.COM

All orders placed with usbmemorydirect.com its affiliates or subsidiaries (hereinafter referred to as "USBMemoryDirect Websites") are subject to, without modification, the terms, conditions, and notices contained herein. Additionally, the USBMemoryDirect Websites, or any publications of the USBMemoryDirect Websites, may contain additional terms that govern particular features or offers. In the event that any of the terms, conditions, and notices contained herein conflict with the Additional Terms or other terms and guidelines contained within any particular USBMemoryDirect Website, or publications produced by any USBMemoryDirect Website, then these terms shall control.

ARTWORK

Certain colors may look different when printed on surfaces other than paper, for example metal, wood, rubber or plastic. It is encouraged that the client submit a vector graphic in one of the following forms: AI, EPS, PS. Specialty fonts must be outlines or the font files themselves must be included with the vector file, otherwise USBMemoryDirect reserves the right to substitute fonts. Please review and carefully check all digital / physical proofs. Digital proofs are not intended to verify color correctness as colors may vary based on screen view. Digital proofs should be used to assure correct size, scale, positioning, spelling, etc of the artwork on the product. In the event precise color matching is critical a physical proof is recommended. Clients may also obtain PMS color swatches from PANTONE's website. Physical proofs will accurately represent how the color will appear on the final product, color may vary slightly on the final production run. If the client requests additional changes and/or proof the order may be delayed and fees may apply. If the client delays in approving the proof the order delivery date may be affected, please contact customer service immediately to have your order expedited.

UPLOADS

It is the customer's responsibility to check all files and folders uploaded to our site for data corruption, or errors that may have occurred in the transfer process. We cannot accept any responsibility for errors or data corruption during the file transfer process. Once files are uploaded to our FTP site, our sole responsibility is to confirm the number of files or folders, file types, and overall size of data upload as per customer's instruction.

APPROVAL

USBMemoryDirect will not begin producing any order unless the invoice, digital samples and other service requests are approved first and payment has been received. Products, services, or discounts not present on the invoice will not be given.

PAYMENT

USBMemoryDirect accepts credit cards, wire / money transfers, and purchase orders from approved companies. Orders will not be placed into production until payment is received in full or a valid purchase order is received. Credit card billing and shipping must match or the alternate shipping address must be on file with the credit card company otherwise the order may be delayed. All past-due accounts placed into collection are responsible for all associated fees and 1.5% interest compounded monthly on the balance.

PRICE

All quoted prices are subject to change without notice. To secure pricing a valid form of payment and approval of the final invoice must be given, at which time no items may be removed from the order. USBMemoryDirect will price match any competitor pricing provided a valid quote is presented and the competitor quote is not below USBMemoryDirect's cost. Additional fees may apply to artwork after order approval depending on final color count, position, size, etc of the artwork.

RETURNS

USBMemoryDirect offers a lifetime replacement warranty. A valid RMA number is required for all returns. USBMemoryDirect will not issue refunds for any custom products or service if the job is produced according to the client's artwork and specifications.

GENERAL TERMS

All orders that are being printed or otherwise customized cannot be canceled or refunded once they are in production. USBMemoryDirect reserves the right to refuse any order. USBMemoryDirect reserves the right to utilize client artwork for illustration and advertisement purposes unless otherwise directed by the client. You agree to indemnify, defend, and hold harmless USBMemoryDirect from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from the use and distribution of any products or services purchased.

SHIPPING

USBMemoryDirect includes UPS Ground shipping service free of charge, all other delivery methods will be billed as a line item to the invoice. USBMemoryDirect will not be responsible for delays in order delivery made by any shipping provider. You agree to pay for all charges associated with package interceptions and destination changes.
